Introduction
Important Notice
Simplify VRB Analytics Pvt Ltd, is a company incorporated under the Companies Act, 2013, with its registered office at 13th Floor, Dev Corpora, Eastern Express Highway, Opp. Cadbury Junction, Khopat, Thane West, India (Pin: 400604) (hereinafter referred to as the "Licensor"), is the sole owner of the Platform (as defined below), along with its associated websites, domain names, trademarks, and mobile applications.
Acceptance
By clicking "Sign Up with Email," the Licensee confirms legal eligibility to enter into a contract and agrees to these Terms.
Non-Acceptance
If the Licensee does not agree to these Terms, they must not access the Platform.
Definitions
Confidential Information
Any data designated as confidential by the disclosing party ("Discloser") and shared with the receiving party ("Recipient"). This includes proprietary details on development, marketing, sales, operations, costs, business strategies, and more.
Platform
A SaaS platform for conducting literature review processes.
Users
Authorized personnel (employees, consultants, agents) listed by the Licensee, granted admin access to the Platform per these Terms.
License Grant and Usage Restrictions
Scope of License
The Licensee receives a non-exclusive, non-transferable, royalty-free license to access and use the Platform solely for internal testing, evaluation, and feedback within its organization.
Usage Limits
The Licensee's evaluation access includes 1 million tokens in the paid version. Additional tokens can be purchased as needed.
Prohibited Uses
The Licensee agrees to refrain from disclosing or demonstrating the Platform to third parties, copying, modifying, distributing, or creating derivative works of the Platform, and other restricted activities as detailed in the full terms.
Termination
Termination for Breach
The Licensor may immediately terminate this Agreement upon discovering any breach of the Terms or failure to comply with its instructions.
Consequences of Termination
Upon termination, all rights to the Evaluation License terminate immediately, and the Licensee must stop using the Platform.
Intellectual Property Rights
Ownership
The Licensor retains all rights, title, and interest in the Platform, including any modifications, updates, or improvements.
Disclaimers and Limitation of Liability
Platform Results
The Licensor disclaims all warranties and liabilities regarding the accuracy, correctness, or fitness of any results generated or downloaded from the Platform.
Limitation of Liability
The Licensor is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue.
Governing Law and Dispute Resolution
Jurisdiction
These Terms shall be governed by the laws of India, without regard to its conflicts of laws principles.
Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996, in Thane, Maharashtra.
